Terms & Conditions

Last updated 20 September 2026

These terms cover your use of this website and the software development services we provide. Where we work under a signed agreement, that agreement takes precedence.

These terms

These terms govern your use of this website and, unless a signed agreement says otherwise, the software development services NewBrand Technologies provides. By using this website or engaging us for work, you accept them.

About us

NewBrand Technologies ("NewBrand", "we", "us") is a software development company. You can reach us at info@newbrandtechnologies.com.

The services we provide

We design, build and maintain software for organisations of any kind. That includes websites, web applications, mobile applications, internal tools, e-commerce and API integrations, together with consulting and support.

We also develop and operate our own products, including the nbSMS school management system and the nbProfessional (nbPro LMS) learning management system.

Quotations and estimates

Any figure we publish on this website — including the budget calculator — is an indicative estimate only, intended to help you plan. It is not an offer and does not create a contract.

A binding engagement begins only when you accept a written proposal from us, or when we agree a scope of work with you in writing.

Fees and payment

Fees, milestones and payment terms are set out in the applicable proposal. Unless stated otherwise, a deposit is payable before work begins and remaining invoices are due on the terms stated in that proposal.

Amounts are exclusive of applicable taxes unless stated otherwise. We may pause work on overdue accounts after giving notice.

Your responsibilities

You agree to give us accurate information, provide content and access we reasonably need, review and respond to drafts and milestones within agreed timescales, and make decisions promptly.

You confirm that you hold the necessary rights to any content, data, trademarks or software you ask us to work with, and that your use of the delivered work will be lawful.

Changes to scope

If the scope changes after it is agreed, we will set out the effect on cost and timeline in writing. Work on the change begins once you approve it. Requests outside the agreed scope may affect delivery dates.

Intellectual property

On full payment, you own the bespoke deliverables we create specifically for you under the engagement.

We retain ownership of our pre-existing tools, libraries, components, know-how and general methods, and we may reuse them in other work. We also retain ownership of our own products, including nbSMS and nbProfessional.

Our own products

nbSMS and nbProfessional are used under the terms presented inside those applications and in the relevant agreement with the subscribing institution. Nothing on this website overrides those terms.

Acceptable use

You agree not to use this website or our products unlawfully, to attempt to gain unauthorised access to our systems or those of our clients, to interfere with their operation, or to copy, scrape or resell their content without written permission.

Third-party services

The software we build may rely on third-party platforms, hosting, libraries or APIs. Those services are governed by their own terms, and their availability is outside our control.

Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only for the purposes of the engagement. This does not apply to information that is public, independently developed, or required to be disclosed by law.

Warranties and disclaimers

We perform our work with reasonable skill and care. This website is provided as it stands, and we do not warrant that it will be available uninterrupted or free of error.

Except as expressly stated in an agreement, we exclude all other warranties to the extent permitted by law.

Limitation of liability

To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid to us for that engagement in the twelve months preceding the claim.

We are not liable for indirect or consequential loss, including loss of profit, revenue, data or goodwill.

Termination

Either party may end an engagement as set out in the applicable proposal or in writing. Fees for work completed up to the date of termination remain payable, and clauses that by their nature should survive termination will continue to apply.

Governing law

These terms are governed by the laws of the Republic of The Gambia, and the courts of The Gambia have exclusive jurisdiction over any dispute arising from them.

Changes to these terms

We may update these terms from time to time. The date at the top of this page shows when they were last revised, and continued use of the website after that date means you accept the updated terms.
